LEGAL INFORMATION

Terms & Conditions

Updated October 5, 2026

By accessing the Website, submitting an inquiry, signing a proposal, or paying for any service, you agree to these Terms. If you do not agree, do not use the Website or our services.

Where a signed engagement letter, statement of work, purchase agreement, or other written contract (an "Agreement") conflicts with these Terms, the Agreement controls for that engagement.

  • "Client" means any person or entity that engages Taiwo Global for services.
  • "Services" means all consulting, business development, business process outsourcing (BPO), customer support, logistics, marketing, brand development, real estate, and related services we provide.
  • "Deliverables" means reports, plans, strategies, documents, materials, and other work product we create for a Client.
  • "Statement of Work" or "SOW" means a written document describing the scope, timeline, and fees for a specific engagement.
  • "Confidential Information" means non-public business, financial, technical, customer, or personal information disclosed by either party.

Taiwo Global provides professional services across several sectors. The specific scope of any engagement is set out in the applicable proposal, SOW, or Agreement.

We provide advisory services including business strategy, growth planning, marketing, brand development, operations, and logistics consulting. Our recommendations are based on information available at the time and on information you provide. You remain solely responsible for your business decisions and their outcomes.

Where we perform outsourced functions (such as customer support, back-office, administrative, or data processing work) on your behalf:

  • We will perform the Services in a professional and workmanlike manner consistent with the service levels, if any, stated in the SOW.
  • You will provide timely access to systems, scripts, policies, and training materials we reasonably need.
  • You remain responsible for your own products, services, policies, and legal obligations to your customers.
  • Each party will comply with applicable laws, including consumer protection, telemarketing, and data privacy laws, for the activities it controls.

Taiwo Global buys, sells, and invests in residential real estate and may provide real estate consulting.

  • Principal transactions. When Taiwo Global buys or sells a property, it acts as a principal for its own account, not as your real estate agent, broker, or fiduciary, unless a separate written brokerage agreement says otherwise.
  • Licensing. Taiwo Global does not provide real estate brokerage services unless performed by or through a properly licensed individual or brokerage in the relevant state. Any such licensed relationship will be disclosed in writing.
  • Written contracts govern. Every purchase or sale of real property is governed solely by a signed purchase and sale agreement and applicable state law. Nothing on the Website or in our communications is an offer to buy or sell any property.
  • Due diligence. You are responsible for your own inspections, appraisals, title review, surveys, financing, and legal and tax advice. Properties may be sold "as is" where the purchase agreement says so.
  • No investment guarantee. Information about property values, rental income, after-repair value, or returns is an estimate only. Real estate values can fall, and past performance does not predict future results.
  • Fair housing. We comply with the federal Fair Housing Act and applicable state and local fair housing laws. We do not discriminate on the basis of any protected characteristic.

We do not guarantee any particular outcome, including revenue, profit, sales, leads, financing approval, property sale price, or closing date. Results depend on many factors outside our control.

Unless expressly stated in a written Agreement, our Services are not legal, accounting, tax, securities, or investment advice. You should consult licensed professionals before making legal, tax, or financial decisions.

An engagement begins when both parties sign a proposal, SOW, or Agreement, or when you pay a deposit or retainer. Changes to scope must be agreed in writing and may change fees and timelines.

Fees may be hourly, fixed-fee, monthly retainer, per-seat or per-transaction (for BPO), or performance-based, as stated in the SOW. Unless stated otherwise, fees exclude applicable taxes, which you are responsible for paying.

  • Invoices are due within [15] days of the invoice date unless the SOW states otherwise.
  • Retainers and deposits are due before work begins.
  • We accept payment by the methods listed on the invoice.

Overdue amounts may accrue interest at [1.5]% per month or the maximum rate allowed by law, whichever is lower. We may pause or suspend Services until overdue balances are paid. You agree to pay reasonable collection costs, including attorneys' fees, incurred to recover overdue amounts.

You will reimburse pre-approved, reasonable out-of-pocket expenses (such as travel, third-party software, filing fees, or advertising spend) incurred on your behalf.

Fees for Services already performed are non-refundable. Retainers and deposits are non-refundable once work has begun, unless the SOW states otherwise. Any refund of unused prepaid fees is at our discretion or as required by law.

You must notify us in writing of any disputed charge within [10] days of the invoice date. Undisputed portions remain due on time.

You agree to provide accurate, complete, and timely information, access, and decisions. We are not responsible for delays or errors caused by inaccurate or late information from you. You confirm you have the right to share any data or materials you give us.

Each party will keep the other's Confidential Information private and use it only to perform or receive the Services. This duty does not apply to information that is public, already known, independently developed, or lawfully received from a third party. Either party may disclose information when required by law, after giving the other prompt notice where legally allowed. These obligations survive for [3] years after the engagement ends.

We use reasonable administrative, technical, and physical safeguards to protect personal data we handle. When we process personal data on your behalf (for example, your customers' data in BPO work), we do so only on your documented instructions. Where required by law, the parties will sign a separate data processing agreement. Our handling of personal information collected through the Website is described in our Privacy Policy.

  • Your materials. You keep all rights to materials, trademarks, and data you provide to us.
  • Deliverables. After full payment, you own the final Deliverables created specifically for you, unless the SOW states otherwise.
  • Our tools. We keep all rights to our pre-existing methods, frameworks, templates, software, and know-how, including improvements made during the engagement. You receive a non-exclusive license to use them as part of the Deliverables for your internal business purposes.
  • Website content. All Website content is owned by or licensed to Taiwo Global and may not be copied or reused without our written permission.

We will not use your name or logo in marketing without your written consent.

You agree not to misuse the Website, including by submitting false information, attempting unauthorized access, distributing malware, scraping content, or using the Website for any unlawful purpose. Links to third-party sites are provided for convenience; we are not responsible for their content or practices.

The Website and its content are provided "as is" and "as available." Except as expressly stated in a written Agreement, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Website content is for general information only and may not be current or complete.

To the fullest extent permitted by law:

  • Neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business opportunities.
  • Our total liability for any claim arising from the Services or these Terms will not exceed the fees you paid to us for the specific Services giving rise to the claim during the [12] months before the claim.

These limits do not apply to liability that cannot be limited by law, including liability for fraud or willful misconduct.

You agree to defend, indemnify, and hold harmless Taiwo Global and its owners, officers, employees, and contractors from claims, losses, and expenses (including reasonable attorneys' fees) arising from your breach of these Terms, your misuse of the Services or Deliverables, the information or materials you provide, or your violation of law or third-party rights.

During an engagement and for [12] months after it ends, you agree not to directly hire or engage any Taiwo Global employee or contractor who worked on your engagement without our written consent. Where permitted by law, if you do, you will pay a placement fee equal to [25]% of that person's first-year compensation. This does not restrict general job postings not targeted at our personnel.

Taiwo Global acts as an independent contractor. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship.

Either party may end an ongoing engagement with [30] days' written notice, unless the SOW sets a different term. Either party may end an engagement immediately if the other materially breaches these Terms and fails to cure the breach within [10] days of written notice. On termination, you will pay for all Services performed and expenses incurred through the termination date. Sections on payment, confidentiality, intellectual property, limitation of liability, indemnification, non-solicitation, and governing law survive termination.

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law rules. Real estate transactions are also governed by the law of the state where the property is located.

The parties will first try in good faith to resolve any dispute through direct negotiation for [30] days. If unresolved, the dispute will be settled by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, held in Laramie County, Wyoming [or remotely]. Either party may seek injunctive relief in court to protect confidential information or intellectual property. To the extent permitted by law, claims must be brought individually, not as part of a class action.

Neither party is liable for delays or failures caused by events beyond its reasonable control, such as natural disasters, pandemics, government action, utility or internet outages, or labor disputes. Payment obligations for Services already performed are not excused.

  • Entire agreement. These Terms, with any signed Agreement or SOW, are the entire agreement between the parties on their subject.
  • Severability. If any provision is found unenforceable, the rest remains in effect.
  • No waiver. Failure to enforce a provision is not a waiver of it.
  • Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
  • Notices. Legal notices must be in writing and sent to the contact details below or as stated in the Agreement.
  • Electronic signatures. Electronic signatures and records are valid and binding.

We may update these Terms from time to time. The updated version takes effect when posted on the Website, with the date shown at the top. Changes do not alter a signed Agreement already in effect unless both parties agree in writing.
